Terms of Service

The agreement between YOT LTD and every organisation that uses SPARK: accounts, subscriptions, acceptable use, data, liability and termination.

Last updated 16 September 2026

These terms govern access to and use of the SPARK platform, website, site collector software and related services (the "Service") provided by YOT LTD ("YOT", "we", "us"). By creating an account or using the Service you agree to them on behalf of the organisation you represent ("you", the "Customer").

If you do not agree to these terms, do not use the Service.

1. The Service

SPARK provides network discovery, monitoring, topology, documentation, credential storage, remote access, ticketing, time tracking and related tools for managed service providers and IT teams. Features vary by plan as described on the pricing page. We may add, change or retire features, and will give reasonable notice of changes that materially reduce the Service.

2. Accounts and users

  • You must provide accurate registration details and keep them up to date.
  • You are responsible for everyone who uses the Service under your organisation, for keeping credentials confidential and for enabling two-factor authentication where appropriate.
  • Users are unlimited on every plan; you may not share a single login between several people.
  • You must be at least 18 and authorised to bind your organisation to these terms.

3. Plans, billing and payment

  • Free plan: one site with up to 25 devices, provided free of charge and without a service level commitment.
  • Paid plans are billed per site (Solo) or per onboarded client (MSP) in euros, monthly or annually in advance, through Stripe. Prices exclude VAT and other applicable taxes.
  • Each paid plan includes a device allowance. Additional capacity is purchased in device packs, billed with your subscription. AI credit top-ups are prepaid and consumed as used.
  • The 14-day trial of the MSP tier needs no payment method. If you do not subscribe when it ends, the account continues on the Free plan within its limits.
  • Subscriptions renew automatically until cancelled. You can cancel at any time from the billing page; access continues until the end of the paid period. Refunds are handled under our Refund and Cancellation Policy.
  • We may change prices with at least 30 days' notice. Changes take effect at your next renewal after the notice period.
  • If a payment fails we will retry it and notify you. We may suspend paid features after a grace period until payment is received.

4. Site collectors and integrations

  • The collector software is licensed to you for use on networks you own or are authorised to monitor. You are responsible for obtaining that authorisation, including from your own clients.
  • The collector performs read-only discovery within the subnets and rate limits you configure. You are responsible for setting those limits appropriately for sensitive equipment.
  • When you connect a third-party integration, you authorise us to use the credentials you supply to call that provider on your behalf, subject to the provider's own terms.
  • Device actions such as reboots or port changes are executed at your request and are recorded in the audit log. You are responsible for their effect on your networks.

5. Acceptable use

You must not:

  • Use the Service to monitor or access networks, devices or accounts without authorisation.
  • Probe, disrupt or circumvent the security of the Service or of any other user's data.
  • Resell, sublicense or time-share the Service other than through the white-label and client-portal features we provide.
  • Reverse engineer the software except where the law expressly permits it.
  • Upload malicious code or use the Service for any unlawful purpose.

We may suspend accounts that breach this section, giving notice where practical.

6. Customer data

  • You retain all rights in the data you and your collectors put into the Service. You grant us a licence to host, process and transmit it solely to provide and support the Service.
  • We process personal data within customer data as your processor, as described in the Privacy Policy. A data processing agreement is available on request.
  • You are responsible for the accuracy and lawfulness of your data and for having a right to store your clients' information in the Service.
  • You can export your data at any time while your account is active and for 30 days after termination, after which we delete it as described in the Privacy Policy.

7. Intellectual property

The Service, the collector software, the SPARK name and logos are owned by YOT LTD or its licensors. These terms do not transfer any of that ownership to you. Feedback you give us may be used without obligation to you.

8. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purposes of these terms, except where disclosure is required by law. This obligation survives termination for five years.

9. Availability and support

We aim to keep the Service available at all times, but it is provided without an uptime guarantee unless an Enterprise agreement says otherwise. We may perform maintenance with notice where practical. Support is provided by email at support@sparkdock.io; priority support applies to the MSP and Enterprise tiers.

10. Warranties and disclaimers

We warrant that the Service will perform materially as described on our website. Otherwise the Service is provided "as is". We do not warrant that discovery, topology or alerts will be complete or error-free; they depend on what devices and integrations expose. Nothing in these terms excludes liability that cannot be excluded by law.

11. Limitation of liability

  • Neither party is liable for indirect or consequential loss, loss of profit, revenue, data or goodwill.
  • Our total liability arising out of the Service in any 12-month period is limited to the fees you paid us in that period, or €100 if you are on the Free plan.
  • These limits do not apply to death or personal injury caused by negligence, fraud, or breach of the confidentiality section.

12. Term and termination

  • These terms apply for as long as you have an account.
  • You may close your account at any time from the settings page. Paid periods already started are not refunded except as set out in the Refund and Cancellation Policy.
  • We may terminate or suspend the Service for material breach not remedied within 14 days of notice, for non-payment, or where required by law.
  • On termination your right to use the Service ends, collectors stop reporting and data is handled as described in section 6.

13. Changes to these terms

We may update these terms. We will post the new version here and, for material changes, notify account holders at least 30 days before they take effect. Continued use after that date is acceptance of the new terms.

14. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protections in your country of residence. If any provision is found unenforceable, the rest remains in effect.

15. Contact

The Service is provided by YOT LTD, United Kingdom.
